1. Agreement to these Terms
These Terms of Service govern your access to and use of Proforma websites, hosted or managed services, APIs, workspaces, and related offerings. By using Proforma, you agree to these Terms on behalf of yourself and, if applicable, the organization you represent.
If you use Proforma for an organization, you represent that you have authority to bind that organization. If your organization has a separate written agreement, order form, or data processing agreement with Proforma Labs, that agreement controls where it conflicts with these Terms.
2. The service
Proforma is an operating intelligence layer for company data. It helps customers connect Sources, define Models, build Pages, run Scripts, and collaborate in Chats. The service may include AI features, APIs, warehouse connectors, analytics tracking, session replay, automations, scheduled jobs, webhooks, portals, recordings, voice, email, Slack, Notion, browser automation, and other integrations.
We may improve, change, suspend, or discontinue features over time. We will use reasonable efforts to avoid materially reducing paid functionality during an active subscription unless needed for security, legal compliance, reliability, or product integrity.
3. Accounts, workspaces, and administrators
- You must provide accurate account information and keep it current.
- You are responsible for maintaining the confidentiality of credentials and for activity under your account, workspace, API keys, ingest keys, webhooks, and integrations.
- Workspace owners and administrators may invite users, assign roles, configure integrations, connect data, manage secrets, publish links, and control workspace content.
- You must promptly notify us of unauthorized access or suspected compromise.
4. Customer Data
As between you and Proforma Labs, you retain ownership of Customer Data. Customer Data includes data, content, records, files, warehouse metadata, query results, prompts, scripts, pages, models, chats, and other materials submitted to or processed through your workspace.
You grant Proforma Labs a limited license to host, copy, transmit, process, display, query, transform, and otherwise use Customer Data only as needed to provide, secure, support, maintain, and improve the services; comply with law; and perform our obligations. We may use aggregated or de-identified information that does not identify you, your users, or your customers to improve and operate the service.
You are responsible for the accuracy, legality, quality, and rights to Customer Data, including any personal information, third-party data, warehouse data, source records, and integration content you submit or connect.
5. AI features
- AI features may send prompts, workspace context, model and source metadata, query results, generated content, and tool outputs to configured AI model providers.
- Proforma Labs does not use Customer Data to train its own foundation models. If you configure your own AI provider or key, your provider relationship and provider settings may control how that provider handles data.
- AI outputs may be inaccurate, incomplete, duplicated, biased, unsafe, or unsuitable for your use case. You are responsible for reviewing outputs and deciding whether and how to use them.
- AI outputs are not legal, financial, tax, medical, security, or other professional advice.
- To the extent permitted by law and subject to these Terms, you own your prompts and outputs as part of Customer Data.
- Agents, Scripts, webhooks, and integrations can take actions. You are responsible for configuring permissions, reviewing actions, and supervising automated workflows.
6. Acceptable use
You may not use Proforma to:
- Break the law, violate rights, or process data without required notices, consents, permissions, or legal bases.
- Send spam, phishing, malware, harmful code, or abusive communications.
- Probe, scan, bypass, overload, disrupt, reverse engineer, or attack Proforma or another user's systems, except as authorized in writing.
- Misrepresent identity, impersonate others, or interfere with workspace permissions and access controls.
- Upload or process content that is unlawful, infringing, defamatory, harassing, exploitative, or intended to cause harm.
- Use the service for high-risk activities where failure could lead to death, personal injury, environmental harm, or severe property damage.
- Submit payment card data, protected health information, children's data, or other regulated data unless your deployment and written agreement are approved for that use.
7. Third-party services, integrations, and secrets
You may connect Proforma to third-party services such as warehouses, object storage, CRM systems, email, Slack, Notion, AI providers, analytics tools, browser automation providers, and APIs. Third-party services are governed by their own terms and privacy practices.
You are responsible for obtaining rights to connect third-party services, configuring access scopes, monitoring costs and usage, rotating credentials, and complying with third-party terms. Proforma Labs is not responsible for third-party services or for disclosure, modification, deletion, or loss of Customer Data caused by third-party services you choose to connect.
8. Security and customer responsibilities
- We use reasonable technical and organizational measures designed to protect the service.
- You are responsible for configuring your warehouse, cloud resources, integrations, network allowlists, users, roles, secrets, scripts, schedules, webhooks, and published links.
- You must not share credentials, publish private links unintentionally, or place secrets in pages, scripts, chat messages, logs, or public repositories.
- You are responsible for backing up Customer Data that remains in systems you control.
9. Fees and subscriptions
Some Proforma services may be free, usage-limited, invite-only, beta, or paid. Paid subscriptions, pilots, services, and usage commitments are governed by the applicable order, checkout flow, invoice, or written agreement.
Unless otherwise stated, fees are non-refundable, exclusive of taxes, and due according to the applicable order or invoice. You are responsible for taxes, duties, and similar government assessments other than taxes based on our income.
10. Suspension and termination
You may stop using Proforma at any time. We may suspend or terminate access if you breach these Terms, create security or legal risk, fail to pay amounts due, use the service abusively, or if suspension is needed to protect the service, customers, or the public.
After termination, we may delete or retain information according to the Privacy Policy, your agreement, and legal or operational requirements. Sections that by their nature should survive termination will survive, including ownership, confidentiality, payment obligations, disclaimers, limitations of liability, indemnities, and dispute terms.
11. Proforma IP and feedback
Proforma Labs and its licensors retain all rights in the service, software, designs, documentation, trademarks, logos, and other Proforma materials. These Terms do not grant you rights to Proforma IP except the limited right to use the service as permitted.
If you give us feedback or suggestions, you grant us the right to use them without restriction or compensation, but we will not use your confidential Customer Data except as allowed by these Terms or your written agreement.
12. Confidentiality
Each party may receive nonpublic information from the other. The receiving party will use reasonable care to protect confidential information and will use it only to perform under these Terms, unless disclosure is authorized, required by law, or the information becomes public through no fault of the receiving party.
13. Disclaimers
To the maximum extent permitted by law, Proforma is provided as is and as available. We disclaim warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranty that the service will be uninterrupted, error-free, secure, or meet your requirements.
You are responsible for business decisions, financial decisions, legal compliance, data governance, automation approvals, and reviewing outputs before relying on them.
14. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost goodwill, lost data, or business interruption, even if advised of the possibility.
To the maximum extent permitted by law, Proforma Labs' total liability for all claims relating to the service or these Terms will not exceed the greater of the amounts you paid to Proforma Labs for the service in the 12 months before the event giving rise to the claim or 100 US dollars. These limits do not apply where prohibited by law.
15. Indemnity
You will defend, indemnify, and hold harmless Proforma Labs from claims, damages, liabilities, costs, and expenses arising from Customer Data, your use of the service, your integrations, your violation of these Terms, or your violation of law or third-party rights.
16. Governing law and disputes
These Terms are governed by the laws of California, excluding conflict-of-law rules. The parties will try to resolve disputes informally first. If a dispute cannot be resolved informally, the state and federal courts located in California will have exclusive jurisdiction, except that either party may seek injunctive or equitable relief in any court with jurisdiction.
17. Changes and contact
We may update these Terms from time to time. Updates are effective when posted unless we specify a later date. If a change materially reduces your rights or affects an active paid subscription, we will use reasonable efforts to provide notice where required.
